Most founders begin with a product idea and a GST search tab. That works until a landlord, marketplace, bank or municipal inspector asks for a document you have never heard of. This guide is the sequence we recommend when someone asks: “What do I need before I open?”
Rule of thumb: start with identity and banking, then tax registration if you cross the threshold or sell online, then state labour / shop registration, then local municipal permissions, then sector licences (food, pharma, factory, export).
Foundations every founder needs
Before any licence form, lock PAN for the proprietor/partners/company, Aadhaar for e-sign where required, a business bank account with cancelled cheque or passbook proof, and registered address proof (rent agreement + owner NOC, or utility bill in the applicant’s name).
If you are incorporating a private limited company or LLP, complete MCA registration first. Later licences often ask for Certificate of Incorporation and authorisation for the signatory.
GST, Shop Act, municipal and sector layers
GST is not automatic for every tiny shop on day one, but it becomes mandatory at notified thresholds, for many interstate taxable supplies, or when marketplaces/B2B buyers insist on GSTIN.
Shop & Establishment is the classic state registration for commercial establishments. Municipal trade licence / health trade licence / fire NOC appear when you have physical premises that trigger city rules.
Sector overlays — FSSAI for food, IEC for import-export, factory and pollution consents for manufacturing — only apply when your activity needs them. Do not treat a trading GSTIN as enough for a workshop.
- Week 1 — PAN, bank, address file, sole prop vs company decision.
- Week 2 — GST decision + Udyam if you want MSME signalling.
- Week 3 — Shop & Establishment + municipal trade licence draft.
- Week 4 — Sector licence and renewal calendar.
Common mistakes
Using a friend’s GSTIN “temporarily”, signing a lease without checking trade/fire feasibility, ignoring state labour registration because the team is small, and copying document lists from another state are the mistakes we see most often.
